Terms of Service

1. Acceptance of Terms

By accessing or using the IncidentMind website ("Site") or engaging our consulting and engineering services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site or Services.

2. Services

IncidentMind LLC provides custom AI automation engineering, MCP server development, workflow automation, platform engineering, and advisory services. All engagements are governed by a separate Statement of Work (SOW) or engagement agreement that takes precedence over these Terms where applicable.

3. Intellectual Property

• Client work: Unless otherwise specified in the SOW, deliverables created for a client engagement are owned by the client upon full payment.
• Pre-existing IP: IncidentMind retains ownership of all pre-existing tools, frameworks, libraries, and methodologies used in delivery.
• Site content: All content on this website — including text, graphics, logos, and code — is the property of IncidentMind LLC and protected by applicable intellectual property laws.

4. Use of the Site

You agree not to:

• Use the Site for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Site
• Scrape, crawl, or extract data from the Site in bulk without written permission
• Transmit malware, viruses, or other harmful code

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information exchanged during an engagement. This obligation survives termination of the engagement.

6. Payment

Payment terms, milestones, and rates are defined in the applicable SOW or engagement agreement. Unless stated otherwise, invoices are due within 30 days of receipt.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCIDENTMIND LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU UNDER THE APPLICABLE ENGAGEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Warranty Disclaimer

THE SITE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Indemnification

You agree to indemnify and hold harmless IncidentMind LLC from any claims, damages, or expenses arising from your breach of these Terms or misuse of the Site or Services.

10. Termination

We reserve the right to suspend or terminate your access to the Site at any time for any reason. Engagement termination terms are governed by the applicable SOW.

11. Governing Law

These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict of law principles.

12. Changes to Terms

We may modify these Terms at any time. Continued use of the Site after changes constitutes acceptance of the updated Terms.
